David Vidal-Cordero - Of Counsel
David’s practice focuses on international infrastructure project development, privatization activities, domestic and cross-border corporate and securities, mergers and acquisitions, and asset finance covering a wide range of industries and geographical regions. He has particular experience in the energy, airport, telecom and cruise line industries and has worked extensively in all of Latin America, the Caribbean, Europe and Lusophone Africa. David is a native speaker of Spanish, is fully fluent in both French and Portuguese, and is reading-proficient in Italian.
In addition to his corporate and finance practice, David represents the Embassy of Spain to the United States. He chairs the board of directors of the Spain-U.S.A. Foundation, a foundation that promotes, supports and undertakes cultural, scientific and educational activities of interest to Spain and the United States, as well as that of Lycée Rochambeau Inc., a non-profit corporation providing legal support to the French lycée in Washington, D.C. He is also an active supporter to the board of Argentine School of Washington, a Spanish-language school that meets on Saturdays during the academic school year.
Representative Matters:
- Represent Luxembourg telecom company in $510 million acquisition of Central American cable companies in Costa Rica, El Salvador, Guatemala, Honduras and Nicaragua
- Represent Luxembourg telecom company in $10 million acquisition of Honduran wireless telecom company plus expansion of licensing rights
- Represent Bahamian-flag luxury cruise line in $86 million new credit facility to refinance acquisition financing for an exploration vessel as well as to provide general working capital for refurbishment of the existing fleet and other corporate purposes
- Represent independent power plant located in the Dominican Republic in the conversion of the plant from single fuel to dual fuel and the renegotiation of a power purchase agreement
- Represented an international consortium operating the concession of the Jorge Chávez International Airport in Lima, Peru, in the negotiation of a financing package with the Overseas Private Investment Corporation and Kreditanstalt für Wiederaufbau
- Represented the International Finance Corporation in the establishment of a multi-industry regulatory agency in Brazil in connection with the privatization of an electricity distribution company in the State of Ceará
- Represented France Télécom in the development of a feasibility study and memorandum of understanding to develop a submarine fiber optic telecommunications cable from Cuba to Mexico, including a review and analysis of U.S. legislation pertaining to cable landing licenses
- Represented a telecommunications operator in the negotiation of various indefeasible right to use (IRU) capacity agreements in Latin America
- Represented an international telecommunications develop/operator in the development of a GSM 900 network in Venezuela, including negotiations and contracting with private equity investors, suppliers of network infrastructure equipment, and governmental regulatory authorities
- Represented a consortium of U.S. and local companies participating in privatizations of flour mills in Haiti and the Dominican Republic
- Represented private equity investors in the exercise of share acquisition rights in Jamaica
- Represented a Finnish client in the acquisition of a Dutch-owned Mexican maquiladora manufacturing flat screen televisions
- Represented an international consortium in the privatization, development, and financing of the Hato International airport in Curaçao, Netherlands Antilles
- Represented Goldman Sachs in the establishment of a joint-venture with a Brazilian investment bank partner to service and restructure sub- and non-performing assets
- Represented Goldman Sachs in its successful bid to acquire a loan portfolio sold by the Mexican entity charged with selling assets from distressed banks
- Represented Goldman Sachs in the development of a financing program in Portugal
- Represented a U.S. based entity in the negotiation of a production sharing contract relating to offshore oil exploration with the government of the Democratic Republic of São Tomé and Príncipe
- Represented an international luxury cruise line in cross-border financings involving assets and corporate structures in multiple European and Caribbean jurisdictions
- Represented a U.S. university in the establishment of its operations in the Dominican Republic
- Represented a U.S. laboratory in the establishment of a DNA genetic testing facility in Panama
- Represented a U.S. investment bank in the development of a financing program in Portugal
- Represented the Resolution Trust Corporation in the securitization of more than US $7 billion in mortgages
- Represented Grameen Foundation in the negotiation of various agreements with a Pan African telecommunications operator

David, a dual national, lived in Madrid, Spain during the first eighteen years of his life. Thereafter, he attended the University of Puerto Rico where his law training included both civil and common law systems.
