Carlos F. Ramírez

Carlos Ramirez is an associate in the Corporate, Securities and M&A practice at Moses & Singer. Mr. Ramirez advises and represents businesses in such diverse industries as equipment leasing, publishing, security systems, electronics manufacturing and financing. He also counsels individuals in connection with joint ventures and strategic partnering transactions.

Mr. Ramirez has experience representing public and private companies in equity and debt offerings, and public companies in PIPE offerings; advising public companies on SEC-reporting obligations, corporate governance matters and other corporate and securities law matters; and representing borrowers in asset-based financing transactions.

Notable representations include:
  • Representing purchaser in $37 million stock purchase.
  • Representing purchaser in the acquisition of equipment leasing company operating assets for $12.5 million.
  • Representing borrowers in asset-based financing transactions ranging from $7 million to $150 million.
  • Representing publishing and licensing company in several private placements of debt and equity securities ranging from $5 million to $507 million.
  • Assisting publicly-traded electronics manufacturer in several private placements of convertible debt and equity securities ranging from $1.25 million to $1.5 million.
Mr. Ramirez is a member of the Board of Trustees and the Executive Committee of the New Heights Academy Charter School, and a Vice President of the Fordham Urban Law Journal Alumni Association.
